Paul Seidman’s discussion about Teaming Agreements is taking place during Workshop A on March 30, 2017 at 8:30am. Companies enter into teaming agreements to pool resources to obtain and perform government contracts. Teaming agreements are generally between a company competing for a prime contract and a prospective subcontractor, and can either require the award of a subcontract if a prime contract is awarded or require the parties to attempt to negotiate a subcontract if a prime contract is awarded. This presentation offers strategies to negotiate advantageous teaming agreements.
If the potential subcontractor has negotiating leverage, it should insist a teaming agreement contain language requiring that it be awarded a subcontract if the prime is awarded a prime contract.
Other important terms include:
- a prohibition against employee raiding ;
- a requirement that the prime exercise a subcontract option if prime contract option is exercised
- limitation of primes’ right to terminate for convenience to work terminated by the Government customer; and
